In these Terms, the following definitions apply:
You must be at least 18 years of age to register on the Platform. By registering, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into a binding agreement, and that all information you provide is accurate and complete. SomaticAI reserves the right to verify your identity and to suspend or terminate accounts where eligibility requirements are not met.
By activating a data-capture session, you grant SomaticAI a perpetual, worldwide, royalty-free, irrevocable licence to use, reproduce, process, anonymise, aggregate, and commercialise the Motion Data you contribute, including by incorporating it into Datasets sold to Enterprise Customers. You acknowledge that once Motion Data has been anonymised and incorporated into a Dataset, it cannot be individually identified or extracted.
Workers are compensated according to the rates published in the Platform at the time of their contribution. Rates may be updated from time to time with 14 days' notice. Payouts are processed to the bank account registered in your Worker profile. SomaticAI is not responsible for delays caused by your financial institution. Minimum payout thresholds apply as displayed in the app. Compensation constitutes payment for the licence granted in clause 3.1 and does not create an employment relationship.
Workers are independent contractors, not employees, agents, or partners of SomaticAI. Nothing in these Terms creates any employment, agency, joint venture, or partnership relationship. Workers are responsible for their own tax obligations arising from compensation received through the Platform.
Workers must only contribute genuine Motion Data captured during authentic work activities. Submitting fabricated, manipulated, or low-quality data, using automated tools to simulate motion, or attempting to game the compensation system constitutes a material breach of these Terms and may result in immediate account termination and forfeiture of any unpaid earnings.
Upon successful payment, SomaticAI grants Enterprise Customers a non-exclusive, non-transferable, worldwide licence to use the purchased Dataset or API access for the purpose of training, validating, and testing machine learning models. This licence does not permit resale, sublicensing, or redistribution of the Dataset to third parties without prior written consent from SomaticAI.
Enterprise Customers must not: (a) attempt to re-identify individual Workers from Dataset records; (b) use Datasets for any purpose that violates applicable law; (c) use Datasets to develop surveillance, tracking, or profiling systems targeting individuals without their consent; or (d) share API credentials with unauthorised third parties.
All purchases are processed through Stripe and are subject to Stripe's terms of service. Dataset purchases are non-refundable once the download link or API key has been issued, except where required by applicable consumer protection law. If you experience a technical issue preventing access to purchased content, contact [email protected] within 48 hours of purchase.
SomaticAI makes reasonable efforts to ensure the accuracy and quality of Datasets but does not warrant that Datasets are error-free, complete, or fit for any particular purpose. Enterprise Customers are responsible for validating Datasets for their intended use case.
All intellectual property rights in the Platform, including its software, design, trademarks, and Content (excluding Worker-contributed Motion Data), are owned by or licensed to SomaticAI. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, distribute, sell, or lease any part of the Platform or its Content without our prior written consent.
Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in those policies.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SomaticAI does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by applicable law, SomaticAI's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to SomaticAI in the 12 months preceding the claim, or (b) ZAR 1,000. In no event shall SomaticAI be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify, defend, and hold harmless SomaticAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.
SomaticAI may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to breach of these Terms. You may terminate your account at any time by contacting [email protected]. Upon termination, your right to use the Platform ceases immediately. Clauses 3.1 (Data Contribution licence), 5 (Intellectual Property), 7 (Disclaimers), 8 (Indemnification), and 10 (Governing Law) survive termination.
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA) before any litigation may be commenced. The courts of South Africa shall have exclusive jurisdiction over any matters not resolved by mediation.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and SomaticAI regarding the Platform. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right. We may update these Terms at any time; continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
